License Agreement
Online Purchase and Download License
Last Updated: October 12, 2026
This Commercial Software License Agreement (“Agreement”) is between Gerald Lester, an individual located in Jefferson Parish, Louisiana (“Licensor”), and the person or legal entity purchasing, downloading, installing, or using the Software (“Customer”).
By selecting “I Agree,” clicking an acceptance button, completing an online order, downloading, installing, accessing, or using the Software, Customer agrees to be bound by this Agreement. If Customer does not agree, Customer must not purchase, download, install, access, or use the Software.
If Customer accepts this Agreement on behalf of a company or other legal entity, Customer represents that Customer has authority to bind that entity. In that case, “Customer” includes that entity and its authorized users.
1. Definitions
“Documentation” means the user guides, technical materials, and instructions provided with the Software.
“Software” means the software product identified on Licensor’s website, checkout page, order confirmation, invoice, or download page, including any related installers, components, updates, and Documentation provided by Licensor.
“Authorized Users” means Customer’s employees, contractors, or agents authorized to use the Software on Customer’s behalf.
“License Term” means the period stated during the online purchase process or in the order confirmation. If no period is stated, the license is perpetual unless terminated under this Agreement.
“Order Confirmation” means the electronic confirmation, receipt, invoice, or similar record issued by Licensor after an online purchase.
2. License Grant
Subject to Customer’s payment of all applicable fees and compliance with this Agreement, Licensor grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license to:
- download, install, and use the Software;
- use the Software for Customer’s internal business or personal purposes, as applicable; and
- allow Authorized Users to use the Software on Customer’s behalf.
The license is limited to the number of users, devices, installations, accounts, locations, or other usage limits stated during purchase or in the Order Confirmation.
Unless otherwise stated, a license for one user may not be shared by multiple users, and a license for multiple users may not exceed the number of permitted users purchased by Customer.
3. Online Purchase and Electronic Acceptance
Customer may purchase the Software through Licensor’s website or an authorized reseller.
The online order will identify the Software, applicable license type, price, taxes, license duration, permitted usage, and any other relevant terms. An Order Confirmation may be provided electronically and will serve as evidence of the purchase.
Customer’s electronic acceptance of this Agreement is legally equivalent to a handwritten signature. No physical signature is required.
If the Software is purchased through an authorized reseller, the reseller’s terms may govern payment, invoicing, refunds, and taxes, while this Agreement governs Customer’s use of the Software unless otherwise stated in writing.
4. Delivery and Download
After purchase, Licensor may provide the Software through:
- a download link;
- a customer account;
- an activation code or license key;
- an electronic delivery message; or
- another electronic delivery method.
Customer is responsible for downloading, installing, and maintaining the Software on compatible equipment.
Licensor is not responsible for delivery problems caused by inaccurate contact information, Customer’s email provider, Customer’s equipment, internet connection, firewall, security settings, or other systems outside Licensor’s reasonable control.
Download links, license keys, or activation credentials may be limited in time or number and may not be shared, sold, or transferred without Licensor’s written permission.
5. Activation and Account Requirements
The Software is designed to run without an internet connection. It does not contact Licensor to activate, register, or verify a license, and it does not require a Licensor account.
If Customer creates an account with a third-party sales platform to purchase or download the Software, Customer is responsible for keeping those account credentials confidential and for all activity conducted through that account.
Licensor may use reasonable technical measures that operate locally within the Software to verify licenses, prevent unauthorized use, enforce usage limits, and protect the Software. Customer must not bypass or interfere with those measures.
6. License Restrictions
Customer must not, and must not permit any third party to:
- copy the Software except as reasonably necessary to install and use it or as expressly permitted by Licensor;
- distribute, publish, sell, rent, lease, loan, sublicense, or transfer the Software;
- make the Software available for use by persons who have not obtained a valid license;
- reverse engineer, decompile, disassemble, or attempt to discover the source code, except to the extent such restriction is prohibited by law;
- modify, adapt, translate, or create derivative works of the Software;
- remove or alter copyright, trademark, license, or proprietary notices;
- use the Software to provide hosting, outsourcing, service-bureau, or application-service-provider services to third parties;
- use the Software to develop or provide a competing product or service;
- circumvent activation, license, security, or usage-control features;
- use the Software in violation of applicable law; or
- use the Software in a way that could damage, disable, overburden, or impair its operation.
Customer may make one backup copy of downloadable Software solely for archival purposes, provided all proprietary notices remain intact and the backup is not used by another person.
7. Updates and Upgrades
Licensor may provide patches, bug fixes, updates, or upgrades, but is not obligated to continue development or to provide any particular update.
When provided, minor version upgrades and patches (any update that does not change the version number before the first decimal point, for example 1.0 to 1.1, or 1.1.2 to 1.1.3) are included with your license at no additional cost, for as long as you hold a valid license for the Software.
A new major version (a change in the version number before the first decimal point, for example 1.x to 2.0) may require an additional purchase or subscription, as stated at the time it becomes available.
Updates may be installed automatically or may require Customer action, and are subject to this Agreement unless Licensor provides separate terms with the update.
8. Fees, Taxes, and Renewals
Customer will pay the price displayed during checkout or stated in the Order Confirmation.
Unless otherwise stated:
- payment is due at the time of purchase;
- prices exclude applicable taxes;
- taxes may be added during checkout;
- fees are non-refundable except as required by law or expressly stated in this Agreement; and
- Customer is responsible for keeping payment and billing information current.
If the Software is licensed on a subscription basis, the subscription will renew for successive periods stated during checkout unless Customer cancels before the renewal date. Licensor may charge the applicable renewal fee using the payment method associated with Customer’s account.
9. Refunds and Cancellation
Refund rights, if any, will be stated during checkout, in the Order Confirmation, or in Licensor’s applicable refund policy.
If no separate refund policy applies, Customer may request a refund within 30 days after purchase by contacting Licensor at inquiries@kng-consulting.com, provided Customer has stopped using the Software and removed all copies from Customer’s devices.
Nothing in this Agreement limits any non-waivable refund or cancellation rights available under applicable law.
10. Ownership
The Software, Documentation, interfaces, designs, technology, content supplied by Licensor, and all related intellectual-property rights are owned by Licensor or its licensors.
Customer receives only the license expressly granted in this Agreement. Customer does not receive ownership of the Software or any right to use Licensor’s trademarks, branding, or other intellectual property except as necessary to use the Software as permitted by this Agreement.
11. Customer Content and Data
Customer retains ownership of all data that Customer enters into or creates with the Software.
The Software runs on Customer’s own devices and servers. Licensor does not host, copy, receive, or process Customer data through the Software, and Customer grants Licensor no license to Customer data.
Customer is responsible for the legality, accuracy, security, and integrity of Customer data and for obtaining all permissions required for its use with the Software.
The Software does not collect or transmit technical, diagnostic, or usage information to Licensor. Information that Customer chooses to send to Licensor, such as a support request, is used only to respond to that request.
12. Third-Party Software
The Software may include or depend on third-party software or open-source components. Those components may be subject to separate license terms.
To the extent required by those terms, the applicable third-party license terms will control over this Agreement for the relevant component.
13. Support
Support, if included, will be provided according to the support terms stated during purchase or in the Documentation.
Unless expressly included, Licensor is not required to provide telephone support, custom development, implementation services, data migration, or assistance with systems not supplied by Licensor.
14. Limited Warranty
Licensor warrants that, for 90 days after purchase or delivery, the Software will substantially conform to its Documentation when used as authorized.
Customer’s sole remedies for breach of this warranty are, at Licensor’s option:
- correction or replacement of the Software;
- provision of a reasonable workaround; or
- refund of the purchase price paid for the affected Software upon return or deletion of the Software.
This warranty does not apply to problems caused by misuse, unauthorized modifications, failure to follow the Documentation, incompatible equipment, third-party products, or use outside the permitted scope.
Except for the express warranty above, the Software is provided “as is” and “as available.” To the maximum extent permitted by law, Licensor disclaims all other warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, and error-free performance.
15. Disclaimer Regarding Critical Uses
The Software is not designed or intended for use in systems requiring fail-safe performance, including life-support systems, emergency response systems, aircraft or air-traffic systems, nuclear facilities, weapons systems, or other applications where failure could reasonably be expected to result in death, personal injury, or severe property or environmental damage, unless expressly agreed in writing by Licensor.
16. Intellectual-Property Indemnity
Licensor will defend Customer against a third-party claim alleging that Customer’s authorized use of the Software infringes that third party’s copyright, patent, or trademark, and will pay damages finally awarded or settlement amounts approved by Licensor.
Customer must:
- promptly notify Licensor of the claim;
- allow Licensor to control the defense and settlement; and
- provide reasonable cooperation.
Licensor may modify or replace the Software, obtain continued usage rights, or terminate the affected license and refund the unused portion of any prepaid fees.
Licensor has no obligation for claims arising from Customer data, unauthorized modifications, combinations with products not supplied by Licensor, or use outside this Agreement.
17. Limitation of Liability
To the maximum extent permitted by law, neither Party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data.
Licensor’s total aggregate liability arising out of or relating to the Software or this Agreement will not exceed the amount Customer paid for the Software during the 12 months before the event giving rise to the claim.
These limitations do not apply to liability that cannot legally be limited, or to a Party’s fraud, willful misconduct, or infringement of the other Party’s intellectual-property rights.
18. Termination
This Agreement begins when Customer accepts it or purchases, downloads, installs, or uses the Software and continues until terminated.
Licensor may terminate the license if Customer materially breaches this Agreement and does not cure the breach within 15 days after notice. Licensor may terminate immediately for unauthorized distribution, license-key sharing, unlawful use, circumvention of technical controls, or conduct that creates a material security or legal risk.
Upon termination:
- Customer’s license ends immediately;
- Customer must stop using the Software;
- Customer must uninstall and delete all copies of the Software; and
- Customer must pay all amounts owed through the termination date.
Sections concerning ownership, confidentiality, disclaimers, limitations of liability, payment obligations, and dispute resolution survive termination.
19. Confidentiality
Each Party may receive non-public information from the other Party. The receiving Party will use such information only to perform or exercise rights under this Agreement and will protect it using reasonable care.
These obligations do not apply to information that is publicly available without breach, was already lawfully known, is lawfully received from another source, or is independently developed.
20. Export and Legal Compliance
Customer will comply with all applicable export-control, sanctions, import, and other laws relating to the Software.
Customer may not use, export, re-export, or provide the Software to a prohibited person, entity, country, or territory in violation of applicable law.
21. Governing Law and Disputes
This Agreement is governed by the laws of Louisiana, USA, without regard to conflict-of-law principles.
The courts located in Jefferson Parish, Louisiana will have exclusive jurisdiction over disputes arising from this Agreement, and the Parties consent to that jurisdiction and venue.
Optional consumer-law language: Nothing in this Section deprives consumers of rights or remedies that cannot lawfully be waived in their place of residence.
22. Changes to This Agreement
Licensor may update this Agreement from time to time. Changes will apply prospectively and will be posted on Licensor’s website or presented during a subsequent purchase, download, installation, or update.
A material change will not apply retroactively to a perpetual license already purchased unless required by law or necessary to address security, legal, or technical issues.
23. Electronic Notices
Licensor may provide notices electronically, including by email, through Customer’s account, within the Software, or on Licensor’s website.
Customer agrees that electronic records and communications satisfy legal requirements that communications be in writing.
24. General Terms
Customer may not assign or transfer this Agreement or the Software without Licensor’s prior written consent, except where such restriction is prohibited by law.
Licensor may assign this Agreement in connection with a merger, reorganization, sale of assets, or transfer of the Software business.
If any provision is held invalid or unenforceable, the remaining provisions will remain effective.
Licensor’s failure to enforce a provision is not a waiver of its right to enforce that provision later.
This Agreement, together with the Order Confirmation and any terms expressly incorporated into it, is the entire agreement concerning the Software and supersedes prior understandings on that subject.
